User Agreement & Privacy Terms

The Weekend Club (the “WKND”) is a mobile software application developed by ZIMA Inc. (the “Company”). By browsing, downloading, installing, or using WKND in any way, you agree to these terms and agree to be bound by them. The Company may amend these terms at any time without prior notice. You agree to check WKND periodically for updates. Your continued use of WKND means that you accept all amendments. If you do not wish to be bound by these terms, please stop using WKND.

1. Eligibility

(1) Users must be at least 18 years old.

(2) Users under 18 must obtain the consent of a legal representative.

(3) Except for personal information provided by users themselves, the Company cannot know a user’s age. After reading and agreeing to these terms, users warrant that they are at least 20 years old and capable of agreeing to and complying with these terms.

(4) Users are solely responsible for all legal liability arising from any false information they provide. The Company assumes no responsibility.

2. Intellectual Property Rights

(1) All content displayed on WKND and in related information and marketing materials—including reviews, illustrations, charts, photographs, and layouts—is protected by intellectual property rights. Users may not reproduce, publicly broadcast, publicly transmit, adapt, or otherwise use it without authorization.

(2) The names, trademarks, and service marks displayed on WKND and in related information and marketing materials belong to the Company. Users may not copy, modify, or use them in any manner without authorization.

(3) WKND is a mobile software application developed by the Company. Users may not reverse engineer or decompile the software, or take any action or coordinate with any third party to interfere with or damage WKND, including its functionality, usability, access rights, or security.

3. Privacy

(1) Users’ privacy rights are set out in detail in the Privacy Policy within WKND, which forms part of this agreement.

(2) Browsing, downloading, installing, or using WKND in any way means that users agree to the Privacy Policy. If a user does not agree to the privacy terms, they must stop using WKND.

4. Registration

(1) Users warrant that the personal information they register with WKND is true.

(2) Users must take precautions to protect their registration password and keep it secure.

(3) Registration fees

To maintain the quality of our events and ensure that every participant enjoys a stable and pleasant experience, the platform dynamically adjusts registration fees based on information provided by users and their participation records, such as attendance rates, feedback from other participants, and behavioral records.

If a user’s participation history indicates that additional coordination or administrative resources are required, the registration fee may be increased accordingly. This is intended to keep event operations running smoothly and to maintain fairness and respect for all participants. Records of “no-shows” are automatically cleared four weeks after the incident.

Your information is analyzed in advance by our algorithm and evaluated weekly based on how difficult it is to find suitable matches. If the system determines that your information is more unique or difficult to match, your fee may be slightly higher than another user’s.

5. Account Suspension, Termination, and Deletion

(1) These terms remain effective from the first day a user uses WKND until the user stops using it or the Company terminates the user’s access.

(2) The Company may immediately suspend, terminate, or delete a user’s WKND account without further notice if:

  • the user violates any provision of these terms;
  • the user’s conduct or content seriously affects other users; or
  • the user’s conduct or content affects the reputation, goodwill, or security of WKND or the Company.

(3) The Company may terminate these terms and suspend, terminate, or delete a user’s WKND account by giving the user 30 days’ notice.

(4) After a user’s WKND account is terminated or deleted, the user may not register again under another name or use WKND. The Company is not liable for damages arising from this action.

(5) If a user subscribes to WKND through the App Store or Google Play, the user must cancel the paid subscription through the App Store or Google Play. If the user does not cancel it, the user remains responsible for continuing payments.

6. Scope of Liability

(1) Users are fully responsible for their interactions with other WKND users. The Company makes no warranties and assumes no liability for a user’s conduct, messages sent to other users, or interactions with other users through WKND. The Company may use public records to conduct criminal-record checks or reviews at any time.

(2) Users agree to take reasonable precautions or protective measures when interacting with other WKND users, including meeting in person. Users decide for themselves the nature and extent of their interactions and accept all resulting consequences and responsibilities. Users may not assert any claim against the Company in any form. The Company only provides WKND as a platform for social activities and is not liable for damages that may result from interactions between users.

(3) The Company may update or modify WKND at any time without prior notice. The Company has no obligation to screen or monitor content entered or sent by users and cannot guarantee that all content on WKND is suitable for every user.

7. User Code of Conduct

(1) Users must use WKND in a civilized and respectful manner and must not:

  • harass or spy on other users;
  • register or use WKND under another person’s identity;
  • collect another user’s personal information without consent;
  • distribute spam or advertising messages;
  • use crawlers, search engines, retrieval applications, or any other means to copy data from WKND or change the browsing structure or presentation of WKND or its content;
  • publish, distribute, or reproduce through WKND any work, trademark, or patent protected by intellectual property rights;
  • interfere with or damage servers or networks connected to WKND;
  • damage or restrict in any way computer software, hardware, or telecommunications equipment related to the Company;
  • use WKND content for any commercial activity;
  • plagiarize, copy, modify, alter, or transmit any content in WKND;
  • expressly or implicitly claim to be an employee or agent of the Company without the Company’s consent;
  • compromise WKND’s security with viruses, worms, Trojan horses, malicious code, or programs;
  • forge headers or manipulate identifiers to conceal the source of content uploaded or submitted to WKND;
  • use meta tags, code, or references to WKND or the Company’s brands, advertising, names, trademarks, or service marks to direct others to another application or website;
  • change, modify, relicense, translate, sell, create derivative works from, reverse engineer, decompile, or otherwise disassemble any part or content of WKND;
  • use or develop third-party applications, or other users’ data, messages, or content, in connection with WKND;
  • use, obtain, or publish WKND’s interface;
  • probe, scan, or test vulnerabilities in WKND or its related networks or systems;
  • assist, incite, or encourage conduct that may violate these terms; or
  • engage in any other conduct that violates the law or public order and good morals.

(2) The Company may monitor all conduct and content provided by users on WKND.

(3) If a user is suspected of violating paragraph (1) of this section or of otherwise using WKND unlawfully, the Company may investigate and take any action, including the actions described in Section 5.

8. Content Restrictions

(1) Users are fully responsible for content they publish, upload, display, or transmit on WKND or to other users.

(2) Users must not publish, upload, display, or transmit defamatory, insulting, obscene, sexually explicit, threatening, harassing, racially discriminatory, or otherwise unlawful content on WKND or to other users, including:

  • racial discrimination or hate speech directed at a group or individual;
  • harassment or encouragement of harassment;
  • threatening, obscene, defamatory, or insulting information that may involve or mislead others;
  • pornographic content;
  • spam, unsolicited mass email, or other inappropriate messages;
  • content that infringes another person’s intellectual property rights;
  • requests for another user’s password or personal information for commercial or unlawful purposes;
  • commercial or sales advertising; or
  • any other message that violates the law or public order and good morals.

9. User License

(1) Users agree to grant the Company and its affiliates the right to use, reproduce, store, adapt, publicly transmit, and publicly broadcast information and content that users provide on WKND.

(2) Users agree that other users may view their personal information through WKND for personal, non-commercial purposes.

(3) Users understand that the Company may review or examine all content, information, and data transmitted through WKND. If the Company believes that any content, information, or data may violate these terms, users agree that the Company may delete all or part of it without notice and without liability.

(4) Users must communicate with the Company and WKND personnel or agents politely and respectfully. If the Company believes that a user’s conduct or speech is disrespectful, threatening, or harassing, the user agrees that the Company may suspend, terminate, or delete the user’s right to use WKND without notice and without liability.

(5) Users agree that the Company, its affiliates, or third-party partners may place advertisements anywhere on WKND, and users may not object to this.

(6) Users agree that the Company may use, retain, or disclose content, information, and data within WKND as required by law or where the Company has reasonable grounds to do so.

10. User Warranties

Users warrant that:

(1) they have full rights to grant the license and provide the content described in the preceding section to the Company;

(2) no third party may assert any rights over content they provide to the Company or ZIMA; and

(3) the Company does not need to obtain permission or authorization from any third party or pay any royalty or usage fee to any third party for the content they provide.

11. User Indemnification

If, for reasons attributable to a user, the Company or its affiliates, directors, shareholders, agents, employees, or business partners suffers damage or faces a claim from a third party, the user agrees to bear all resulting damages, including but not limited to attorneys’ fees.

12. User Payment Terms

(1) If a user pays for a subscription or purchases any WKND points to use products, services, or features provided by WKND, the user must use them within the period specified at the time of purchase or subscription. If no period is specified, the user should in principle use them within one year.

(2) If, for reasons attributable to the user, whether intentional or negligent, the user does not use a product or service provided by WKND or points expire, the user may not request a refund and the Company has no obligation to issue one.

13. User Personal Information

(1) If a user makes personal information public to ZIMA or to other users, the user assumes the risk that other users may misuse it or disclose it to third parties. The Company cannot control the conduct of other users and assumes no responsibility.

(2) Users agree that the Company may share personal information with the Company’s other affiliates so that the Company can provide recommendations about social connections and personal appeal, the latest information, promotions, or services.

14. Third-Party Websites or Applications

(1) The Company cannot control links, services, products, or resources provided by third-party websites or applications related to ZIMA. If a user chooses to use a third-party website or application, the user assumes all risks of use and must comply with the applicable third-party terms.

(2) Users agree that the Company may use cookies, mobile identifiers, or other lawful technologies to record usage history or activity in order to provide better services and improve the user’s browsing experience.

15. General Terms

(1) These terms are governed by the laws of the Republic of China (Taiwan). For disputes arising from the use of WKND or these terms, the parties agree that the Taipei District Court in Taiwan will be the court of first instance. Matters not addressed in these terms are governed by the laws of the Republic of China (Taiwan).

(2) Without the Company’s written consent, users may not transfer any rights or obligations relating to WKND. Any successor or assignee of a transferred right is also bound by these terms.

(3) Users agree to receive all information sent by the Company through WKND or email, including but not limited to notices, agreements, announcements, legal documents, and other information.

(4) Users may not modify any provision of these terms. The terms published or amended by the Company replace all previous versions and take effect immediately upon publication on WKND. Continued use of WKND means that the user agrees to all amended terms.
